Standard Bank Corporate & Investment Banking (CIB) has deployed a structured pan-African acquisition facility, acting as the Sole Mandated Lead Arranger and Sole Funder to support private equity firm Adenia Partners. The capital facility enabled Adenia to secure a majority controlling stake in Minet Holdings (Minet Group) from its previous private equity owner, Capitalworks. The complex cross-border leveraged buyout was executed via Adenia Capital V, the firm’s flagship $470 million fund, following extensive antitrust and regulatory clearances across nine separate African jurisdictions.
The landmark financial service acquisition underscores key trends in regional private equity:
-
Structuring Complex Cross-Border Credit: The transaction required a highly tailored, client-centric debt structure to manage diverse regulatory regimes simultaneously. By executing a dual risk-mitigation framework, Standard Bank de-risked the multi-country transaction. Tyson Sithole, Executive Head of Equity Finance at Standard Bank CIB, noted that the facility successfully matched Adenia’s aggressive bid timelines, allowing the principal team led by Dan Apungu to compete effectively in a highly contested corporate bidding environment.
-
Capitalizing on Regional Financial Infrastructure: Minet Holdings operates an independent risk advisory, insurance brokerage, and employee benefits network spanning Botswana, Kenya, Lesotho, Malawi, Mozambique, Namibia, Tanzania, Uganda, and Zambia. Originally carved out from global insurance giant Aon in 2017, the platform is being backed by Adenia to tap into Africa’s low insurance penetration rate. The growth strategy aims to deploy technology-driven, digital insurance models scaled for young, rapidly urbanizing populations.
-
Long-Term Asset Optimization and Sustainability: The entrance of new private equity backing marks the exit of Capitalworks after a nine-year holding period. Under Adenia’s stewardship, the pan-African insurance broker will scale its backend operations and integrate strict Environmental, Social, and Governance (ESG) metrics. Mpho Ntshudisang, Vice President for Equity Finance at Standard Bank CIB, re-emphasized that this solution-driven corporate facility secures business continuity across vital economic sectors while driving broader financial inclusion.
